Significant block of shares/ change in share ownership

Legal basis: Article 70 sec.1 of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies.

Content of Report:

The Management Board of Wirtualna Polska Holding S.A. (“Company”) hereby announces that on March 9th, 2019 the Management Board obtained a notification from AVIVA Powszechne Towarzystwo Emerytalne Aviva BZ WBK S.A. pursuant to Article 69 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and on Public Companies concerning a change in shareholding of the Companies’ shares by Aviva Otwarty Fundusz Emerytalny Aviva BZ WBK („Aviva OFE”). According to the notification, as a result of a transaction of aquring shares of the Company concluded on March, 2nd, 2018, Aviva OFE increased its share in the total number of votes at the General Meeting of the Company over 5%.

Before the settlement of the transaction, as of March, 5th, 2018, Aviva OFE held 1,955,088 shares of the Company, representing 6.78% of share capital (issued shares) of the Company entitling to 1,955,088 votes at the General Meeting of the Company, which constituted 4.87% of the total number of votes.

After the conclusion and settlement of the transaction, as of March, 6th, 2018, Aviva OFE held 2,033,159 shares of the Company, representing 7,05% of share capital (issued shares) of the Company entitling to 2,033,159 votes at the General Meeting of the Company, which constituted 5.06% of the total number of votes.
